In short
The service is for businesses, currently free. Your data stays yours and you can export or delete it any time. We process personal data in it only on your behalf (see the DPA).
1. Scope and provider
1.1 These Terms of Service ("Terms") govern the use of the Stoxify online inventory service (the "Service") provided by [not yet provided], [not yet provided] ("we", "us").
1.2 The Service is offered exclusively to businesses (entrepreneurs within the meaning of § 14 BGB / Art. 2 no. 2 Directive 2011/83/EU), public-law entities and special funds. By registering, you confirm that you use the Service for your trade, business or profession and not as a consumer.
1.3 Conflicting or supplementary terms of the customer do not apply, even if we do not expressly object to them.
2. Registration and account
2.1 A contract is concluded when you complete the registration and accept these Terms. You must provide truthful and complete information and keep it up to date.
2.2 The person registering confirms that they are authorised to bind the company named in the account.
2.3 Keep your login details confidential and inform us immediately at mailtokhajan@gmail.com if you suspect misuse. You are responsible for activities carried out with your login unless you are not at fault.
3. The Service
3.1 The Service lets you manage products, warehouses, storage locations, stock movements, batches and expiry dates, invoices, purchases and contacts, import and export data, and use AI-assisted features (for example reading bills and product labels). The scope is described on our website and inside the Service.
3.2 We may develop the Service further and change features, provided the essential functions remain available and the change is reasonable for you. We will inform you in good time of changes that significantly limit functions you use.
3.3 AI features make suggestions (for example values read from a photo). They can be wrong. You must check suggestions before saving them; you remain responsible for the data you save.
3.4 The Service supports, but does not replace, your own bookkeeping, tax and legal obligations. In particular, you are responsible for the correctness of invoices you issue and for keeping your business records for the statutory retention periods (for example by exporting them).
4. Fees
4.1 The Service is currently provided free of charge.
4.2 If we introduce paid plans, we will inform you at least 30 days in advance. Paid features will only apply to you if you actively choose them; continued free use will not turn into a paid contract without your express agreement.
5. Availability and support
5.1 We aim for high availability but, as long as the Service is free, we do not guarantee any particular availability. Maintenance is announced in advance where possible.
5.2 Support is provided by email at mailtokhajan@gmail.com on a best-effort basis.
6. Your data
6.1 All data you enter or upload ("Customer Data") remains yours. We acquire no rights to it other than those needed to provide the Service.
6.2 Where Customer Data contains personal data, we process it on your behalf under our Data Processing Agreement, which forms part of these Terms.
6.3 You can export your data at any time (import/export pages and My account → Download my data). We recommend exporting regularly.
6.4 You are responsible for having a legal basis for the personal data you store in the Service and for informing the people concerned.
7. Acceptable use
You must not:
- use the Service for unlawful purposes or store unlawful content;
- attempt to access other customers' data, circumvent security measures, or probe, scan or test the vulnerability of the Service without our written permission;
- place an unreasonable load on the Service (for example by automated mass requests) or interfere with its operation;
- resell or provide the Service to third parties without our written consent.
We may block access temporarily if there are concrete indications of a breach, taking your legitimate interests into account, and will inform you without delay.
8. Liability
8.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and to the extent we have given a guarantee.
8.2 For slight negligence, we are only liable for breaches of an essential contractual obligation (an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely), and limited to the damage typical and foreseeable at the time the contract was concluded.
8.3 As long as the Service is provided free of charge, our liability under 8.2 is further limited to cases of gross negligence and intent, to the extent permitted by law (§§ 521, 599 BGB apply accordingly).
8.4 We are not liable for the loss of data to the extent the damage would have been avoided had you exported your data regularly in reasonable intervals.
8.5 The above limitations also apply to our employees, representatives and vicarious agents.
9. Term and termination
9.1 The contract runs for an indefinite period.
9.2 You can terminate at any time by closing your account under My account → Close account. Your data is erased permanently after the grace period described in our Privacy Policy; please export it beforehand.
9.3 We can terminate with 30 days' notice by email. The right to terminate for good cause without notice remains unaffected.
10. Changes to these Terms
We may change these Terms for valid reasons (for example legal changes or new features). We will inform you of the changes at least 30 days before they take effect. The new version only applies once you accept it; until then, or if you do not accept it, you can export your data and close your account. If you do not accept changes that are necessary for us to continue the Service, we may terminate with 30 days' notice.
11. Final provisions
11.1 The law of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
11.2 If you are a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes is our registered office. We may also sue you at your general place of jurisdiction.
11.3 Should any provision be invalid, the validity of the remaining provisions is not affected.
11.4 These Terms are concluded in English. The text is stored by us; you can view the current and the accepted version in the Service at any time.
